Texsy Terms of Service

By using the texsy.com web sites and services (“Service”) of Texsy, LLC(“Texsy”), you are agreeing to be bound by the following terms and conditions (“Terms of Service”).

Texsy reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. Violation of any of the terms below will result in the termination of your account. You agree to use the Service at your own risk.

Account Terms

  1. Accounts registered by “bots” or other automated methods are not permitted.
  2. You must provide a valid email address, and any other information requested in order to complete the signup process.
  3. You are responsible for maintaining the security of your account and password. Texsy cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  4. You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

Service Terms

  1. You expressly understand and agree that Texsy shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Texsy has been advised of the possibility of such damages), resulting from your use of the Service.
  2. Abuse or excessively frequent requests to Texsy via the Service may result in the temporary or permanent suspension of your account's access to the Service. Texsy, in its sole discretion, will determine abuse or excessive usage of the Service.
  3. You agree to allow Texsy automated web crawlers access to the content of any web page which includes the Texsy advertisement script, for the purpose of determining which advertisements to supply.
  4. Texsy reserves the right at any time to modify or discontinue, temporarily or permanently, your access to the Service with or without notice.
  5. Texsy makes no guarantee of service. Texsy does not guarantee that it will serve any advertisements for any given web page, or that the advertisements will generate any revenue.

Revenue Sharing & Payment

You agree to allow the Texsy service to embellish content that includes the Texsy advertisement script, with advertisements for products. When users click on the advertisements they are directed to 3rd party sites, and you receive credit either for the click, or for future transactions related to click.

  1. You must have a valid partnerships with one or more supported affliate programs, independent of your use of the Texsy Service. Texsy is not a party to your relationships with the affliate programs.
  2. To receive payment for Texsy advertisements you must provide Texsy with affliate tracking codes from one of the supported advertising programs (eg. Amazon Associates, Shopping.com Affliate program, Ebay.com affiliate program).
  3. You will not be paid by Texsy. Your payment for clicks and transactions will come from, and depend entirely on your relationship with the affiliate programs whose product listings are shown in Texsy advertisements on your web site.
  4. You must provide valid affiliate codes in order to receive credit. It is your responsibility to ensure that the affiliate programs are properly crediting you for clicks and transactions.
  5. You agree to display all advertisements and related links that Texsy embeds exactly as Texsy provides them, without modification.
  6. You agree to share credit for affiliate and partner advertising that Texsy provides. Texsy will receive the credit for a percentage of clicks on that users execute through Texsy advertising. This will be done statistically and the revenue share will be 80% for you, 20% for Texsy. Texsy will insert it's own affiliate codes on 20% (averaged statistically) of the clicks from your site that are redirected through the affiliate programs.
  7. If you do not provide affiliate codes, you will not receive credit for any referrals until valid codes are provided. If advertisements are requested from Texsy and you have not supplied valid partner affiliate codes, Texsy may receive credit for all the advertisement conversions.

Cancellation and Termination

  1. To stop Texsy from embedding advertisments on a content page, you must remove the Texsy advertisement script from the content page.
  2. Texsy, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Texsy service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your account or your access to your account, and the forfeiture and relinquishment of any content in your account. Texsy reserves the right to refuse service to anyone for any reason at any time.

Modifications to the Service and Prices

  1. Texsy reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
  2. Revenue sharing rates of all Services are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Texsy Site (www.texsy.com).
  3. Texsy shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Copyright and Content Ownership

  1. We claim no intellectual property rights over the material you provide to the Service.
  2. The Texsy site and our service are protected by U.S. and international copyright, trademark and other laws, and you acknowledge that these rights are valid and enforceable.

General Conditions

  1. Your use of the Service is at your sole risk. The service is provided on an “as is” and “as available” basis.
  2. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by Texsy.
  3. If bandwidth usage (as determined solely by Texsy) needed to supply advertisements to your site(s) is excessive, we reserve the right to immediately disable your account or throttle the Service to your sites.
  4. Texsy does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.
  5. You expressly understand and agree that Texsy shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Texsy has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) or any other matter relating to the service.
  6. The failure of Texsy to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Texsy and govern your use of the Service, superceding any prior agreements between you and Texsy (including, but not limited to, any prior versions of the Terms of Service).
